Last updated: [PLACEHOLDER: DD Month YYYY]

Version: 2026-04-21-v1 (referenced when users accept terms at payment; bumped when content changes materially)

Welcome to Growith NSI. These Terms & Conditions ("Terms") govern your access to and use of the Growith NSI website, mobile apps, and services ("Services") operated by [PLACEHOLDER: legal entity name] ("we," "us," "our").

By accessing or using the Services, and by confirming consent at the payment step, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Accounts and eligibility

1.1 You must be at least 18 years of age to create an account and use our paid services.

1.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at [PLACEHOLDER: support email] if you suspect unauthorized access.

1.3 You agree to provide accurate, current, and complete information during registration. Impersonation, fake accounts, or using another person's identity is strictly prohibited and may result in permanent account termination without refund.

1.4 One individual may hold only one active account. Multiple accounts per person may be suspended at our discretion.

2. Services offered

Growith NSI provides:

2.1 Onboarding funnel — a structured sequence of educational content, videos, and decision points that introduce our learning framework. Access requires a one-time commitment fee as described on our Pricing page.

2.2 Learning Management System (LMS) — on-demand video courses on topics including financial literacy, personal development, communication, and practical skills. Some courses are available to all registered users; others may require a separate course enrollment fee.

2.3 Distributor Program — an optional monthly subscription that unlocks a personal referral link, lead tracking dashboard, campaign management, and related tools. Distributor Program participation is voluntary and is not required to access learning content.

2.4 We may add, modify, or remove features at any time. Fundamental changes that materially affect paid services will be communicated via email and on-site notifications at least 7 days before taking effect.

3. Payments

3.1 All prices are listed in Indian Rupees (INR) on our Pricing page and at checkout.

3.2 Payments are processed through Razorpay, a PCI-DSS compliant Indian payment gateway. We do not store your card or UPI details directly; Razorpay handles all payment data in accordance with its own privacy and security policies.

3.3 International users may pay using cards or wallets supported by Razorpay for INR settlement. Exchange-rate fluctuations and cross-border fees charged by your card issuer are your responsibility.

3.4 For the Distributor Program subscription, Razorpay processes recurring charges automatically on the billing anniversary date. You may cancel anytime from your account settings (see Section 7 and our Refund & Cancellation Policy for details).

3.5 GST is included in the displayed price where applicable under Indian law.

3.6 Before any payment, you are required to confirm consent to these Terms, our Privacy Policy, and our Refund & Cancellation Policy via a checkbox at the payment step. Your consent, the terms version you agreed to, and the timestamp are recorded with each transaction for compliance and dispute-resolution purposes.

4. Content license and intellectual property

4.1 All content on Growith NSI — videos, course materials, written lessons, graphics, audio, logos, branding, and software — is owned by [PLACEHOLDER: legal entity name] or its licensors and is protected under Indian and international copyright, trademark, and intellectual property laws.

4.2 We grant you a limited, non-exclusive, non-transferable, revocable license to access and view content for your own personal learning. This license ends automatically if you violate these Terms.

4.3 You may not:

  • Download, record, screen-capture, or redistribute video content
  • Share your account credentials with anyone
  • Reproduce or republish course materials on any other platform
  • Use automated tools (bots, scrapers) to access the Services
  • Reverse engineer, decompile, or tamper with our software
  • Create derivative works based on our content without written permission

Violations may result in immediate account termination without refund and legal action.

5. User-generated content

5.1 If you post comments, questions, reviews, feedback, or any other content on the Services ("User Content"), you grant us a worldwide, royalty-free, perpetual license to use, reproduce, and display that content in connection with operating and promoting the platform.

5.2 You agree not to post content that is:

  • Unlawful, defamatory, harassing, abusive, or hateful
  • Sexually explicit or obscene
  • Infringing on any third party's intellectual property or privacy
  • Spam, advertising unrelated to the platform, or malicious code

5.3 We reserve the right to remove any User Content at our sole discretion without notice.

6. Distributor Program rules

6.1 The Distributor Program rewards active subscribers who refer new users to the platform. Rewards are structured as [PLACEHOLDER: exact commission/reward structure].

6.2 Distributor participation is an affiliate referral arrangement. It is not a business opportunity, employment relationship, franchise, or multi-level marketing scheme. No earnings are guaranteed. You do not become our employee, agent, or partner by joining.

6.3 You may not:

  • Misrepresent the platform, our pricing, or our services to referred users
  • Use spam, deceptive advertising, or unauthorized use of our branding in referral promotions
  • Guarantee or promise specific earnings to referred users
  • Pressure or manipulate others into signing up
  • Create fake referral sign-ups using your own secondary accounts

6.4 Referral attribution follows our documented funnel rules. Disputes about attribution are resolved at our sole discretion based on internal tracking data.

6.5 We may suspend or terminate Distributor Program access for any violation of these rules without refund of the current month's subscription fee.

7. Cancellation and refunds

7.1 For cancellation and refund rules, see our Refund & Cancellation Policy. In summary:

  • Commitment fee: non-refundable once the onboarding funnel is started.
  • LMS course enrollment fee: non-refundable once course access is granted.
  • Distributor Program subscription: you may cancel anytime; access continues until the end of the current billing period; no prorated refunds.

7.2 Section 7.1 governs all cancellations. Any contradictory communication (verbal, email, chat) does not override these terms.

8. Account suspension and termination

8.1 We may suspend or terminate your account immediately and without notice if you:

  • Violate these Terms
  • Engage in fraud, chargebacks without prior communication, or payment disputes filed in bad faith
  • Abuse other users, our staff, or the platform
  • Provide false information during registration or KYC

8.2 You may close your account at any time by emailing [PLACEHOLDER: support email]. Paid content access continues until the end of the current billing period; no refund is issued.

8.3 On termination, your right to access the Services ends immediately. We will retain transaction records as required by Indian tax and accounting law.

9.4 To the maximum extent permitted by law, our total aggregate liability to you for any claim arising out of or related to these Terms or the Services is limited to the total amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

9.5 We are not liable for indirect, incidental, special, consequential, or punitive damages including lost profits, lost data, or business interruption.

10. Indemnification

You agree to indemnify and hold harmless [PLACEHOLDER: legal entity name], its directors, officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your violation of these Terms, your User Content, or your misuse of the Services.

11. Governing law and disputes

11.1 These Terms are governed by the laws of India, without regard to conflict-of-law principles.

11.2 Any dispute, controversy, or claim arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts of [PLACEHOLDER: city, e.g. "Ahmedabad, Gujarat"].

11.3 Before initiating any legal action, you agree to first contact our Grievance Officer (see Contact page) and attempt good-faith resolution for at least 30 days.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will:

  • Update the "Last updated" date and version string at the top
  • Post a prominent notice on the platform
  • Email registered users if changes are material

Your continued use of the Services and your consent at future payment steps after changes take effect constitute acceptance of the updated Terms.
