We, NSIMPACTT PRIVATE LIMITED (CIN: U80903GJ2022PTC137755, GST: 24AAICN6637R1ZP), (hereinafter referred to as "Growith NSI" and/or "https://growithnsi.com" and/or "We"), are a Private Limited Company incorporated under the Private Limited Company's Act, 2013.

By accessing or using the Services, and by confirming consent at the payment step, you agree to be bound by these Terms in their entirety. If you do not agree, please do not use the Services.

1. Accounts and Eligibility

1.1 You must be at least 18 years of age to create an account and use our paid services.

1.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at hello@growithnsi.com if you suspect unauthorized access.

1.3 You agree to provide accurate, current, and complete information during registration. Impersonation or using another person's identity is prohibited and may result in permanent termination without refund.

1.4 One individual may hold only one active account. Multiple accounts may be suspended at our sole discretion.

2. Services Offered

2.1 Onboarding funnel — educational content, videos, and decision points introducing our learning framework. Requires a one-time commitment fee.

2.2 Learning Management System (LMS) — on-demand video courses on financial literacy, personal development, communication, and practical skills. Some courses require a separate enrollment fee.

2.3 Distributor Program — optional monthly subscription unlocking a personal referral link, lead tracking dashboard, campaign management, and related tools. Participation is voluntary and not required to access learning content.

2.4 Landing Page Builder — a tool for active Distributor Program subscribers to create and publish a personal landing page to grow their network.

2.5 Social Media Automation — an optional feature for Distributor Program subscribers to connect social media accounts and publish AI-generated content automatically (see Section 11).

2.6 We may add, modify, or remove features at any time. Material changes to paid services will be communicated via email at least 7 days before taking effect.

3. Payments

3.1 All prices are in Indian Rupees (INR). GST is included where applicable under Indian law.

3.2 Payments are processed by Razorpay, a PCI-DSS compliant Indian payment gateway. We do not store card or UPI details. Razorpay handles payment data per its own security policies.

3.3 For the Distributor Program, Razorpay processes recurring charges on the billing anniversary date.

3.4 Before any payment, you confirm consent to these Terms, our Privacy Policy, and our Refund & Cancellation Policy via a checkbox at the payment step. Your consent, the terms version, and timestamp are recorded with each transaction.

3.5 International users may be charged foreign-transaction fees by their card issuer — outside our control.

4. Content License and Intellectual Property

4.1 All content — videos, courses, graphics, audio, logos, branding, and software — is owned by NSIMPACTT PRIVATE LIMITED or its licensors and is protected under Indian and international intellectual property law.

4.2 We grant you a limited, non-exclusive, non-transferable, revocable license to access and view content for personal learning only.

4.3 You may NOT:

Download, record, screen-capture, or redistribute any content
Share account credentials with anyone
Reproduce or republish course materials elsewhere
Use bots or scrapers to access the Services
Reverse engineer or tamper with our software
Create derivative works without written permission

Violations result in immediate account termination without refund and may result in legal action.

5. User-Generated Content

5.1 By posting any content, you grant us a worldwide, royalty-free, perpetual license to use, reproduce, and display it in connection with operating and promoting the platform.

5.2 You agree not to post content that is unlawful, defamatory, harassing, abusive, hateful, sexually explicit, infringing on third-party rights, spam, or malicious code.

5.3 We may remove any User Content at our sole discretion without notice.

6. Distributor Program Rules

6.1 The Distributor Program currently provides technology tools — referral link, lead tracking, campaign management, landing page builder, and analytics — to help you grow your Enagic distributor network. A formal affiliate reward or commission structure will be introduced in a future update and communicated to all active distributors via email before activation. At present, no monetary commission or reward is paid by NSIMPACTT PRIVATE LIMITED for referrals.

6.2 Distributor participation is an affiliate tool arrangement only. It is NOT a business opportunity, employment, franchise, or multi-level marketing scheme. No earnings are guaranteed. You do not become our employee, agent, or partner.

6.3 You may NOT:

Misrepresent the platform, pricing, or services to referred users
Use spam or deceptive advertising in referral promotions
Guarantee or promise specific earnings to referred users
Pressure or manipulate others into signing up
Create fake referral sign-ups using secondary accounts

6.4 We may suspend or terminate Distributor access for any violation without refund of the current subscription fee.

7. Cancellation and Refunds

See our Refund & Cancellation Policy. Summary:

Commitment fee: non-refundable once paid
LMS course fee: non-refundable once access is granted
Distributor subscription: cancel anytime; access continues to end of paid billing period; no prorated refunds

8. Account Suspension and Termination

8.1 We may suspend or terminate your account immediately without notice if you violate these Terms, engage in fraud, abuse the platform, or provide false information.

8.2 On termination, your access ends immediately. We retain transaction records as required by Indian tax law.

9. Disclaimer of Warranties and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE MAKE NO REPRESENTATION THAT USE OF THE PLATFORM WILL RESULT IN ANY SPECIFIC FINANCIAL, EDUCATIONAL, CAREER, OR BUSINESS OUTCOME WHATSOEVER. ANY INCOME FIGURES OR SUCCESS STORIES MENTIONED ARE INDIVIDUAL RESULTS AND NOT TYPICAL. YOUR RESULTS DEPEND ENTIRELY ON YOUR OWN EFFORT AND MARKET CONDITIONS. WE ARE NOT RESPONSIBLE FOR YOUR FINANCIAL RESULTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NSIMPACTT PRIVATE LIMITED, ITS OWNERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

Any indirect, incidental, special, consequential, exemplary, or punitive damages
Loss of profits, revenue, goodwill, opportunity, or business
Any loss, corruption, deletion, unavailability of, or unauthorized access to your data, content, files, or account — for any reason whatsoever
Any data breach, security incident, hacking, phishing, ransomware, malware, or interception of data transmitted to or from the Services, whether or not foreseeable and whether or not caused by us
Any service interruption, downtime, latency, bug, error, defect, or failure of the Services
Any reliance you place on any content, data, output, or material made available through the Services
Damages arising from your use or inability to use the Services
Damages arising from AI-generated content published on your behalf
Damages arising from third-party platform policy changes or restrictions
Any claims by your customers, leads, or social media followers

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL LIABILITY FOR ANY LOSS OR DAMAGE OF ANY KIND WHATSOEVER — DIRECT OR INDIRECT — HOWEVER ARISING, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF STATUTORY DUTY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS, HOWSOEVER ARISING, SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID US IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR INR 1,000, WHICHEVER IS LOWER.

BY USING THE PLATFORM, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

You use the Services entirely at your own risk
You are solely responsible for all decisions made using Platform data, content, or output
You are solely responsible for compliance with all applicable laws in your jurisdiction
You are solely responsible for maintaining your own independent backups of any data or content you value
No method of electronic storage or transmission is 100% secure, and you accept this risk in full
We have no control over and are not responsible for third-party platforms including Facebook, Instagram, LinkedIn, or Razorpay

10. Indemnification

You agree to indemnify, defend, and hold harmless NSIMPACTT PRIVATE LIMITED, its directors, officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of:

Your use of the Services
Content you publish or distribute through the Platform
Your violation of these Terms
Your violation of any applicable law or regulation
Any claim by a third party arising from your business activities

We reserve the right to assume exclusive defence of any matter for which you must indemnify us, and you agree to cooperate with our defence.

11. Social Media Features — Full Disclaimer

11.1 The social media automation features are provided SOLELY AS A TECHNOLOGY TOOL. We are not a social media agency, marketing consultant, or business advisor. We do not guarantee any results from use of these features.

11.2 By connecting your social media accounts and enabling automated posting, YOU ACCEPT FULL AND SOLE RESPONSIBILITY FOR:

All content published to your accounts, whether AI-generated or otherwise
Compliance with the terms of service of Facebook, Instagram, LinkedIn, and any other connected platform
Any account suspension, restriction, or ban imposed by any platform for any reason
Any legal claims arising from content published through your accounts
Any complaints from your followers, leads, or members of the public

11.3 We are not responsible for:

Changes to platform APIs, policies, or terms of service
Platform outages that prevent publishing
Content moderation or removal decisions made by platforms
Account suspensions imposed by platforms for any reason

IF ANY SOCIAL MEDIA PLATFORM SUSPENDS, RESTRICTS, OR BANS YOUR ACCOUNT FOR ANY REASON, INCLUDING FOR CONTENT PUBLISHED THROUGH OUR PLATFORM, WE BEAR NO LIABILITY WHATSOEVER.

11.4 AI-Generated Content: We do not guarantee that AI-generated content is accurate, appropriate, or compliant with advertising regulations or platform policies. You are responsible for reviewing content before enabling auto-publishing.

11.5 We make no guarantee regarding the reach, engagement, or business outcomes of any content published through the Platform.

12. Direct Sales and Network Marketing Disclaimer

12.1 The NSI Platform is a technology tool for independent Enagic distributors. We are not the manufacturer, distributor, or franchisor of any Enagic product.

12.2 We make no claim that use of this Platform will qualify you for any Enagic commission, bonus, or rank advancement.

12.3 Compliance with all applicable direct sales laws, MLM regulations, and income disclosure requirements in your jurisdiction is SOLELY YOUR RESPONSIBILITY.

12.4 Any legal action arising from your direct sales or network marketing activities is solely your responsibility. We are not a party to any such action.

13. Data, Security, and Backups — No Liability

13.1 While we implement reasonable technical and organisational measures to safeguard the platform, we do not and cannot guarantee the security, integrity, availability, or confidentiality of any data stored on or transmitted through the Services. You provide, store, and use your data entirely at your own risk.

13.2 To the maximum extent permitted by applicable law, we shall not be liable for any loss, corruption, deletion, unauthorized access to, disclosure of, or inability to access your data, content, account, or files, howsoever caused — including system or hardware failure, human error, cyber-attack, hacking, malware, third-party act or omission, or any event beyond our reasonable control.

13.3 You are solely responsible for maintaining your own backups of any data, content, or material you consider important. We are under no obligation to store, retain, back up, or recover any data, and may delete data associated with terminated or inactive accounts without notice, subject only to records we are required to retain under Indian law.

13.4 Our handling of personal data is described in our Privacy Policy. Nothing in these Terms is intended to limit any rights or remedies that cannot be excluded under the Digital Personal Data Protection Act, 2023 or other applicable law; the limitations in this Section apply only to the extent such limitation is permitted by law.

14. No Professional or Financial Advice

14.1 All content, tools, data, and materials are provided for general educational and informational purposes only and do not constitute financial, investment, tax, legal, business, or any other professional advice.

14.2 You are solely responsible for any decision or action taken in reliance on the Services, and you should obtain independent professional advice before making any financial or business decision. We accept no responsibility for any outcome resulting from your reliance on the Services.

15. Third-Party Services and Dependencies

15.1 The Services rely on third-party providers — including, without limitation, Razorpay (payments), cloud hosting and infrastructure providers, AI content providers, and social media platforms such as Facebook, Instagram, and LinkedIn. We do not control these providers and are not responsible for their acts, omissions, availability, security, pricing, or policy changes.

15.2 Any links to, or integrations with, third-party websites or services are provided for convenience only. Your use of any third-party service is governed solely by that third party's own terms, and we bear no liability whatsoever in connection with it.

16. Force Majeure

We shall not be liable for any failure or delay in performance, or for any loss or damage, arising from any cause beyond our reasonable control — including acts of God, natural disasters, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, government or regulatory action, change in law, power or internet failure, telecommunications failure, cyber-attack, or the act, omission, outage, or failure of any third-party provider.

17. Assumption of Risk, Release, and Survival

17.1 You acknowledge and agree that you use the Services entirely at your own risk and that you assume full responsibility for all risks associated with such use.

17.2 To the maximum extent permitted by applicable law, you hereby release, waive, and forever discharge NSIMPACTT PRIVATE LIMITED, its owners, directors, officers, employees, agents, and affiliates from any and all claims, demands, liabilities, losses, and causes of action of every kind arising out of or in any way connected with your use of the Services, your data, or your reliance on any content or output of the Services.

17.3 The disclaimers, limitations of liability, indemnities, and releases in these Terms reflect the agreed allocation of risk between you and us, are a fundamental basis of the bargain, and shall survive any termination of your account or of these Terms. If any provision is held unenforceable, it shall be limited or severed to the minimum extent necessary so that the remaining provisions remain in full force and effect.

18. Governing Law and Disputes

18.1 These Terms are governed by the laws of India.

18.2 Any dispute is subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India.

18.3 Before initiating legal action, you agree to contact hello@growithnsi.com and attempt good-faith resolution for at least 30 days.

19. Changes to These Terms

We may update these Terms at any time. We will update the version string, post a notice, and email registered users for material changes. Continued use after changes constitutes acceptance.
